2. Fees/Termination:
DelBeDel.com and affiliated sites'. usage and/or subscription fees were provided
to you upon registration and may change from time to time upon electronic notice
to you. DelBeDel.com reserves the right to terminate your access to the site for
any reason or no reason. DelBeDel.com may terminate your membership upon sending
notice to you at the email address you provide in your application for
membership or such other email address as you may later provide to us. If
DelBeDel.com terminates your membership in the DelBeDel.com service because you
have breached this Agreement, you will not be entitled to any refund of any
unused subscription fees. Even after this Agreement is terminated, certain
provisions will remain in effect including sections 1, 3, 14, inclusive, of this
Agreement.
You, the buyer, may cancel this agreement, without any penalty or obligation,
at any time prior to midnight of the original contract seller's third business
day following the date of this contract, excluding Sundays and holidays. To
cancel this agreement, e-mail a signed and dated notice which states that you,
the buyer, are canceling this agreement, or words of similar effect. This notice
shall be e-mailed to: webmaster @ DelBeDel.com, with subject line "CANCELLATION
NOTICE"
3. Non-Commercial Use by Members/Viewers:
This DelBeDel.com site is for the personal use of individual members and viewers
only and may not be used in connection with any commercial endeavors.
Organizations, companies, and/or businesses may not become members of this site
and shall not use the DelBeDel.com service or site for any purpose including but
not limited to: sending unsolicited commercial e-mail to members, sending
advertisements for other web sites and services in this site's chat rooms, or
using member personal identifying information for commercial purposes. Illegal
and/or unauthorized uses of the site, including unauthorized framing of or
linking to the site or the sending of unsolicited commercial email will be
investigated, and appropriate legal action will be taken, including without
limitation, civil, criminal, and injunctive redress and/or termination of
membership at DelBeDel.com's sole discretion. In order to prevent the sending of
unsolicited commercial email or chat messages to its members, DelBeDel.com may
take reasonable steps, including the limiting of the numbers of emails or chat
messages sent or received by a member and electronically filtering, moderating,

discretion.
4. Proprietary Rights of Content on DelBeDel.com:

third parties and members and nothing in this agreement is intended to waive,
remove, or usurp such immunity. You understand and agree that DelBeDel.com may
delete any content, messages, photos or profiles (collectively, "Content") that
in the sole judgment DelBeDel.com violates the Terms of Use or which might be
offensive, illegal, or that might violate the rights, harm, or threaten the
safety of DelBeDel.com and/or its members.
B) You are solely responsible for the content that you publish or display
(hereinafter, "post") on the DelBeDel.com , or transmit to other DelBeDel.com
members.
C) By posting content to any public area of DelBeDel.com, you automatically
grant, and you represent and warrant that you have the right to grant, to
DelBeDel.com and its members, an irrevocable, perpetual, non-exclusive,

such information, rights of publicity, and content and to prepare derivative

form of the action, will at all times be limited to the amount paid, if any, by

11. Arbitration of Disputes:
Any and all disputes arising out of or related to these Terms of Use and/or your
relationship with DelBeDel.com and/or your use of this site shall be submitted
to binding arbitration according to the government regulations set in
jurisdiction of Ontario, Canada. The parties to the arbitration shall evenly
divide any and all costs of the arbitration. Neither party shall be entitled to
attorney fees. All parties submit to exclusive jurisdiction in Toronto, Ontario,
Canada. The arbitration shall take place exclusively in Toronto, Ontario,
Canada, following arbitration option which entailes the list expense to
DelBeDel.com and its agents.
12. Indemnity:
You agree to indemnify and hold DelBeDel.com, its subsidiaries, affiliates,
officers, agents, and other partners and employees, harmless from any loss,
liability, claim, or demand, including reasonable attorney's fees, made by any
third party due to or arising out of your use of the service in violation of
this Agreement and/or arising from a breach of these Terms of Use and/or any
breach of your representations and warranties set forth above.
13. Notices/Other:
Except as explicitly stated otherwise, any notices shall be given by e-mail to
webmaster @ DelBeDel.com or to the email address you provide to DelBeDel.com
during the registration process. Notice shall be deemed given 24 hours after
email is sent, unless the sending party is notified that the email address is
invalid. Alternatively, DelBeDel.com may give you notice by certified mail,
postage prepaid and return receipt requested, to the address provided to
DelBeDel.com during the registration process. In such case, notice shall be
given 3 days after the date of mailing. You agree that this Agreement and all
incorporated Agreements may be automatically assigned by DelBeDel.com, in our
sole discretion, to a third party. Headings are for reference purposes only and
in no way define, limit, construe or describe the scope or extent of such
section. References to DelBeDel.com shall include its subsidiaries, affiliates,
officers, agents, and other partners and employees. DelBeDel.com's failure to
act with respect to a breach by you or others does not waive its right to act
with respect to subsequent or similar breaches. If any provision of this
Agreement is held invalid, the remainder of this Agreement shall continue in
full force and effect.
